These Terms of Use (“Terms”) govern your access to and use of any Pro Notary LLC (“ProNotary,” “we,” “our,” or “us”) public website on which these Terms are posted, and any content, functionality, and materials made available through that website (collectively, the “Site”).

These Terms apply when you access, browse, or otherwise interact with the Site. Use of our public websites is subject to these Terms of Use. Use of ProNotary’s software-as-a-service platform and subscriptions is subject to our SaaS Terms. Use of ProNotary’s managed signing services is subject to our MSS Terms. Our collection and use of personal information is described in the Privacy Policy.

By accessing or using the Site, you acknowledge that you have read, understand, and agree to be bound by these Terms. If you do not agree, you must not use the Site. We may revise these Terms from time to time to reflect changes in our Site, legal requirements, or business practices. When we do, we will update the effective date of these Terms.

Access and Use of the Site

Eligibility

You must be at least 18 years of age and capable of entering into a legally binding agreement to use the Site.

Permitted Use

You agree to use the Site only for lawful purposes and in a manner that does not interfere with the operation, security, or integrity of the Site.

The information provided on the Site is for general informational purposes only and does not constitute legal advice, notarial advice, or any other professional advice. ProNotary is not a law firm and does not provide legal services.

Regulatory Disclaimer

ProNotary provides technology that supports Remote Online Notarization and related digital transaction services. The availability, validity, and acceptance of any notarization, document, or transaction may depend on applicable law, jurisdictional requirements, identity verification results, and other factors outside of ProNotary’s control. ProNotary does not guarantee that any notarization, document, or transaction will be completed, accepted, or legally effective for your intended use.

Intellectual Property and Use Restrictions

Ownership

The Site and all content, features, functionality, and underlying technology are owned by ProNotary or its licensors and are protected by applicable intellectual property laws.

Limited Right to Use

ProNotary grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Site for its intended purpose.

Prohibited Conduct

You agree not to engage in any of the following activities in connection with your use of the Site:

  1. Unauthorized access. Attempting to gain unauthorized access to systems, networks, or data.
  2. Automated extraction. Using bots, scrapers, or automated tools to access or extract content without authorization.
  3. Reverse engineering. Attempting to derive source code or underlying logic except where permitted by law.
  4. Interference. Disrupting the integrity or performance of the Site.
  5. Malicious activity. Transmitting malware or harmful code.
  6. Unlawful use. Using the Site for unlawful, fraudulent, or abusive purposes.
  7. Unauthorized use of content. Copying or distributing content without permission.

No Reliance

You acknowledge that any information provided through the Site is for general informational purposes only and should not be relied upon as a substitute for independent legal, regulatory, or professional advice.

Limitation of Liability

PRONOTARY SHALL NOT BE LIABLE FOR ANY ACTS, OMISSIONS, OR CONDUCT OF USERS, NOTARIES, SIGNERS, OR THIRD PARTIES, OR FOR ANY RELIANCE ON INFORMATION OR CONTENT MADE AVAILABLE THROUGH THE SITE.

YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHETHER ANY INFORMATION, DOCUMENT, OR PROCESS REFERENCED ON THE SITE IS APPROPRIATE FOR YOUR PARTICULAR NEEDS AND COMPLIES WITH APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless ProNotary and its affiliates, officers, directors, employees, contractors, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Site, your violation of these Terms, or your violation of any law or rights of a third party.

General Terms

Governing Law and Venue

These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved exclusively in the courts located in Harris County, Texas.

Attorneys’ Fees

The prevailing party in any dispute shall be entitled to recover reasonable attorneys’ fees and costs.

No Waiver

Failure to enforce any provision shall not constitute a waiver.

Severability

If any provision is invalid, the remainder shall remain in effect.

No Third-Party Beneficiaries

These Terms do not create any third-party rights.

Force Majeure

ProNotary is not liable for delays caused by events beyond its control.

Entire Agreement

These Terms constitute the entire agreement regarding your use of the Site. They do not modify the SaaS Terms or the MSS Terms.

Privacy Policy

Our collection and use of personal information in connection with the Site is described in our Privacy Policy.

Changes to these Terms

We may update these Terms from time to time to reflect changes in the Site, legal requirements, or business practices. When we do, we will revise the effective date and post the updated version on the Site. Your continued use of the Site after an updated version is posted will be subject to the revised Terms to the extent permitted by law.
